Sponsor Terms & Conditions

1. Agreement Overview

These Sponsor Terms & Conditions ("Agreement") govern the sponsorship relationship between Backstreet Outlaws ("Organization," "we," "us," or "our") and the sponsoring company or individual ("Sponsor," "you," or "your").

This Agreement becomes binding upon the Sponsor's submission of a sponsorship inquiry form, execution of a written sponsorship contract, or payment of any sponsorship fees, whichever occurs first.

2. Sponsorship Tiers & Benefits

Backstreet Outlaws offers multiple sponsorship tiers (Silver, Gold, and Diamond). The specific benefits, deliverables, and pricing associated with each tier are outlined in the official sponsorship package provided at the time of inquiry.

• Benefits are non-transferable and specific to the agreed-upon tier.
• Upgrading tiers is permitted at any time, subject to availability and pro-rated pricing.
• Downgrading tiers may only occur prior to the commencement of the sponsorship period.
• All benefits are subject to change with reasonable advance notice to the Sponsor.

3. Payment Terms

Sponsorship fees are due as specified in the sponsorship agreement. The following payment terms apply:

• Full payment or an agreed deposit is required to secure sponsorship placement.
• Payments are non-refundable unless explicitly stated otherwise in writing.
• Late payments may result in the suspension or termination of sponsorship benefits.
• All fees are listed in U.S. Dollars (USD).
• Backstreet Outlaws reserves the right to adjust pricing for future sponsorship cycles.

4. Logo, Branding & Intellectual Property

The Sponsor grants Backstreet Outlaws a limited, non-exclusive, royalty-free license to use the Sponsor's name, logo, trademarks, and other provided brand assets solely for the purpose of fulfilling sponsorship obligations during the agreed sponsorship period.

• The Sponsor is responsible for providing print-ready and digital-ready assets in a timely manner.
• Backstreet Outlaws will not alter or modify the Sponsor's branding without prior written consent.
• All intellectual property rights remain with their respective owners.
• Backstreet Outlaws retains all rights to its own branding, content, and event materials.

5. Sponsor Conduct & Content Standards

Sponsors agree to maintain conduct and messaging that aligns with the values of Backstreet Outlaws and its community. The following content is strictly prohibited in any sponsored materials:

• Content that is discriminatory, hateful, or offensive toward any individual or group.
• Promotion of illegal products, services, or activities.
• Misleading, deceptive, or fraudulent advertising claims.
• Adult or sexually explicit content.
• Content that disparages Backstreet Outlaws, its members, partners, or community.

Backstreet Outlaws reserves the right to reject or remove any sponsored content that violates these standards without refund.

6. Event Participation

Sponsors who receive event-day presence as part of their tier agree to the following:

• Sponsor representatives must abide by all event rules and regulations.
• Setup and breakdown must occur within the designated times provided by the Organization.
• Sponsor is responsible for their own equipment, inventory, and personnel at all events.
• Backstreet Outlaws is not liable for theft, damage, or loss of Sponsor property at events.
• Event locations and dates are subject to change; reasonable notice will be provided.

7. Cancellation & Termination

Either party may terminate this Agreement under the following conditions:

• Sponsor cancellation: Must be submitted in writing. Refunds are not guaranteed and are at the sole discretion of Backstreet Outlaws based on benefits already delivered.
• Termination by Organization: Backstreet Outlaws may terminate any sponsorship without refund if the Sponsor violates these terms, engages in conduct harmful to the Organization, or fails to make payment.
• Event cancellation: If an event is cancelled due to circumstances beyond our control (e.g., weather, venue issues, public safety), Backstreet Outlaws will make reasonable efforts to reschedule and honor sponsorship commitments.

8. Limitation of Liability

To the fullest extent permitted by law, Backstreet Outlaws shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this sponsorship Agreement, including but not limited to:

• Loss of revenue or business opportunities attributed to sponsorship performance.
• Damage to the Sponsor's reputation resulting from event circumstances outside our control.
• Technical failures affecting digital deliverables such as website listings or social media posts.

Our total liability to the Sponsor shall not exceed the total sponsorship fees paid in the 12 months preceding the event giving rise to the claim.

9. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of this Agreement, including but not limited to pricing, attendee data, and internal communications. This obligation survives the termination of the Agreement for a period of two (2) years.

10. Indemnification

The Sponsor agrees to indemnify, defend, and hold harmless Backstreet Outlaws, its officers, members, volunteers, and partners from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) the Sponsor's breach of this Agreement; (b) the Sponsor's negligence or willful misconduct; or (c) any third-party claims related to the Sponsor's content or products.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration in accordance with applicable rules.

12. Amendments

Backstreet Outlaws reserves the right to update or modify these terms at any time. Sponsors will be notified of material changes via email or through our website. Continued participation in the sponsorship program following such notice constitutes acceptance of the updated terms.
